CloudTalk VoIP Service - Terms and Conditions

1. Acceptance of Terms:
By subscribing to and using the CloudTalk VoIP service ("Service"), you ("Subscriber" or "User") agree to be bound by these Terms and Conditions ("Agreement"). If you do not agree to these terms, you must not use the Service. CloudTalk ("Company") reserves the right to modify this Agreement at any time. Changes will be posted on the CloudTalk website and become effective upon posting. Continued use of the Service after changes are posted constitutes acceptance of the modified Agreement.

2. Service Description:
CloudTalk provides a Voice over Internet Protocol (VoIP) service that allows Subscribers to make and receive telephone calls over the internet. The Service includes, but is not limited to, features such as:
•	VoIP calling to domestic and international numbers.
•	Voicemail.
•	Call forwarding.
•	Caller ID.
•	Online account management.
•	Number porting (where available).
Specific features and availability may vary depending on the chosen subscription plan.

3. Subscription and Payment:
•	Subscription: Subscribers must subscribe to a CloudTalk plan to use the Service. Subscription fees are detailed on the CloudTalk website.
•	Payment: Payment is due in advance according to the chosen subscription plan. CloudTalk accepts [List accepted payment methods].
•	Billing: Subscribers will be billed automatically on a recurring basis. Billing cycles and dates are determined by the chosen subscription plan.
•	Late Payment: Failure to pay subscription fees may result in suspension or termination of the Service.
•	Taxes: Subscribers are responsible for all applicable taxes and fees.
•	Price Changes: CloudTalk reserves the right to change subscription fees with prior notice.

4. Service Usage:
•	Lawful Use: The Service must be used for lawful purposes only. Subscribers are prohibited from using the Service for illegal activities, including but not limited to: 
o	Harassment.
o	Fraud.
o	Spamming.
o	Transmission of illegal or offensive content.
•	Acceptable Use: Subscribers must adhere to CloudTalk's Acceptable Use Policy, available on the CloudTalk website.
•	Emergency Services (911/112/etc.): VoIP emergency services may differ from traditional landline services. Subscribers must understand and acknowledge these limitations. Emergency calls may be routed to a different location than your physical address. Registering your current address with CloudTalk is critical for emergency service functionality.
•	Number Porting: Number porting is subject to availability and regulatory requirements. CloudTalk will make reasonable efforts to port numbers, but cannot guarantee successful porting.
•	Equipment: Subscribers are responsible for providing and maintaining their own compatible equipment, including internet connection, VoIP adapter, or IP phone.

5. Service Availability and Quality:
•	Service Availability: CloudTalk strives to provide reliable service but does not guarantee uninterrupted or error-free service. Service may be affected by factors beyond CloudTalk's control, such as internet outages, network congestion, or equipment malfunctions.
•	Service Quality: VoIP call quality is dependent on internet connection quality. CloudTalk is not responsible for call quality issues caused by internet connectivity problems.
•	Maintenance: CloudTalk may perform scheduled or unscheduled maintenance, which may temporarily affect service availability.

6. Termination:
•	Subscriber Termination: Subscribers may terminate their subscription by [Describe termination process].
•	CloudTalk Termination: CloudTalk may terminate this Agreement and the Service for any reason, including but not limited to: 
o	Violation of this Agreement.
o	Non-payment.
o	Illegal or abusive use of the Service.
•	Refunds: Refunds are subject to CloudTalk's refund policy, available on the CloudTalk website.

7. Limitation of Liability:
•	CloudTalk shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Service.   
•	CloudTalk's liability shall be limited to the amount paid by the Subscriber for the Service in the preceding 12 months.

8. Indemnification:
Subscribers agree to indemnify and hold CloudTalk harmless from any claims, damages, or liabilities arising from their use of the Service.

9. Privacy:
CloudTalk's Privacy Policy, available on the CloudTalk website, governs the collection and use of Subscriber information.

10. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of Nigeria.

11. Entire Agreement:
This Agreement constitutes the entire agreement between the Subscriber and CloudTalk and supersedes all prior agreements.

13. Severability:
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.  
 
14. Force Majeure:
CloudTalk shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, and internet outages.
